Co-ops in Manitoba are incorporated under the Cooperatives Act of Manitoba. In order to incorporate, all co-ops must file Articles of Incorporation and their co-op’s Bylaws. Once the Articles of Incorporation have been filed, a co-op must file their Bylaws with the Registrar within eighteen (18) months.

In Manitoba, a co-op can be incorporated by a minimum of three individuals, two or more corporate bodies or another cooperative. Cooperatives can be incorporated as either for profit or non-profit (community service) and either have share or no share capital.

Incorporating a co-op involves reserving your co-op’s name, filing your Articles of Incorporation and then filing your co-op’s bylaws with the Registrar.
